WHEREAS, ORANCO LLC, a limited liability company organised under the laws of the State of Georgia (together with its successors and permitted assigns, the “Company”), owns, operates, maintains and makes available certain digital properties, interfaces, utilities and ancillary functionality more particularly described in Section 1.11 hereof; and

WHEREAS, the Company is willing to permit access to and use of the same solely upon, and expressly conditioned upon, assent to the terms, conditions, covenants, representations, limitations, disclaimers, waivers and reservations set forth herein (collectively, as amended, restated, supplemented or otherwise modified from time to time in accordance with Section 17.1, this “Agreement”); and

WHEREAS, the party accessing or using the Services (“User”, “you” or “your”) desires such access and use;

NOW, THEREFORE, in consideration of the foregoing premises, the mutual covenants contained herein, and other good and valuable consideration, the receipt, adequacy and sufficiency of which are hereby acknowledged, the parties, intending to be legally bound, hereby agree as follows:

2. Assent and capacity

2.1 By accessing, browsing, interacting with, transmitting data to, or otherwise utilising the Services in any manner whatsoever, whether or not User has read this Agreement, User acknowledges, represents, warrants, covenants and agrees that User has read, understood and unconditionally assented to be bound by this Agreement in its entirety, including each disclaimer, limitation, waiver and reservation set forth herein, and that this Agreement constitutes a legal, valid and binding obligation of User enforceable against User in accordance with its terms, subject only to applicable bankruptcy, insolvency, reorganisation, moratorium and similar laws of general applicability affecting creditors’ rights generally and to general principles of equity.

2.2 User represents and warrants that User is at least eighteen (18) years of age and possesses the legal capacity to enter into binding contracts; that, where User accesses the Services on behalf of any entity, User possesses all requisite authority to bind such entity, in which case “User” shall be deemed to refer to such entity; and that User is not barred from receiving services under Applicable Law.

2.3 Should User not assent to this Agreement in its entirety, User’s sole and exclusive remedy is to refrain from all access to and use of the Services. The Company remains reachable by telephone for all ordinary commercial purposes.

3. Grant of licence

3.1 Subject to User’s continuing and complete compliance with each and every term and condition hereof, the Company hereby grants to User a limited, personal, non-exclusive, non-transferable, non-sublicensable, royalty-free and freely revocable licence to access and use the Services solely for the internal, non-commercial purposes of (a) obtaining an Indicative Estimate in respect of a Subject Property in which User holds a legal or equitable interest or in respect of which User is duly authorised to act; (b) requesting, scheduling, modifying or cancelling an Engagement; (c) receiving, reviewing and, where applicable, executing Transaction Documents; and (d) such other purposes as the Company may expressly authorise in writing.

3.2 Users accessing the Services in a Workforce Capacity are granted a licence coextensive in scope with the duties for which such access was issued and no broader, which licence terminates automatically and without notice upon cessation of the underlying relationship.

3.3 All rights not expressly granted herein are reserved to the Company. No licence, right, title or interest is granted by implication, estoppel, exhaustion or otherwise.

4. Restrictions

4.1 User shall not, and shall not permit, enable, authorise, encourage or assist any third party to, directly or indirectly: (a) access or attempt to access any account, record, document, system, interface or data not expressly provisioned to User, including by enumeration, interpolation or brute-force derivation of document access identifiers; (b) employ any robot, spider, scraper, harvester, headless browser or other automated means to access, interrogate, index, mirror, replicate or extract the Services or any Content, or to submit requests to the Pricing Utility, whether in respect of Subject Properties or otherwise; (c) reverse engineer, decompile, disassemble, decrypt, translate or otherwise attempt to derive or reconstruct the source code, underlying ideas, algorithms, models, coefficients, rate structures or organisational schemata of the Services or the Pricing Utility, except and solely to the extent such restriction is expressly prohibited by Applicable Law; (d) circumvent, disable, impair or otherwise interfere with any security, authentication, rate-limiting or access-control mechanism; (e) conduct any penetration test, vulnerability scan, load test or similar assessment absent the Company’s prior written authorisation; (f) transmit any virus, worm, trojan horse, time bomb, malicious code or other routine designed to interrupt, destroy or limit functionality; (g) remove, obscure or alter any proprietary notice; (h) use the Services in violation of Applicable Law or in furtherance of any unlawful purpose; or (i) resell, sublicense, lease, rent, time-share or otherwise commercially exploit the Services.

4.2 Notwithstanding Section 4.1(e), the Company will not pursue civil or criminal action against any Person who identifies a security vulnerability in good faith, refrains from accessing, modifying or exfiltrating data belonging to any other Person, makes no public disclosure prior to remediation, and reports the same promptly to the address specified in Section 18.

5. Estimates and indicative pricing

5.1 Each Indicative Estimate is generated algorithmically from remotely sourced geospatial and property characteristics, applied against the Company’s confidential models and assumptions. Such sources and such models are necessarily imperfect, may be stale, incomplete, mis-registered or otherwise inaccurate as to any particular Subject Property, and cannot and do not account for conditions ascertainable only upon physical inspection, including substrate condition, contaminant species and tenacity, access and egress constraints, proximity of sensitive vegetation or finishes, structural irregularity, or variance between the Subject Property as represented and as constituted.

5.2 ACCORDINGLY, AND NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN OR IN ANY COMMUNICATION, EACH INDICATIVE ESTIMATE IS PRELIMINARY, NON-BINDING AND INFORMATIONAL ONLY, CONSTITUTES NEITHER AN OFFER CAPABLE OF ACCEPTANCE NOR A FIRM QUOTATION, AND CREATES NO OBLIGATION ON THE PART OF THE COMPANY TO PERFORM AT, NEAR OR BY REFERENCE TO THE FIGURE INDICATED. THE PRICE FOR ANY ENGAGEMENT IS THE PRICE STATED IN THE APPLICABLE TRANSACTION DOCUMENT AND NO OTHER.

5.3 Each Indicative Estimate lapses and is of no further effect upon the earlier of (a) thirty (30) days from generation, and (b) issuance of a Transaction Document in respect of the same Subject Property.

5.4 Where, upon attendance, the Company determines that conditions at the Subject Property differ materially from those assumed, the Company shall so advise User prior to commencement and shall not perform work beyond the scope agreed without User’s assent. Nothing in this Section 5 shall be construed to permit the Company to invoice for unauthorised work.

6. Requests for service

6.1 Any selection of an appointment interval through the Services constitutes a request only and shall not be construed as an offer, acceptance, reservation or confirmation of any kind.

6.2 An Engagement is formed, and only formed, upon issuance by the Company of a Transaction Document in respect thereof. The terms of such Transaction Document shall govern the Field Services exclusively, and in the event of any conflict or inconsistency between such Transaction Document and this Agreement with respect to the Field Services, such Transaction Document shall prevail.

6.3 Performance of Field Services is contingent upon meteorological and site conditions permitting performance to the Company’s standard. The Company reserves the right, exercisable in its sole discretion, to reschedule any appointment, and shall provide such notice as is reasonably practicable in the circumstances.

6.4 User may cancel or reschedule without charge by communicating the same to the Company prior to the despatch of personnel to the Subject Property.

7. Credentials and access artefacts

7.1 Certain Content is made available by means of a uniform resource locator incorporating a high-entropy identifier and not protected by authentication (an “Access Artefact”). User acknowledges that possession of an Access Artefact confers the practical ability to retrieve the associated Content, and User assumes sole responsibility for the custody thereof. The Company shall, upon notification, invalidate any Access Artefact and issue a replacement.

7.2 Users in a Workforce Capacity are issued credentials consisting of an identifier and a secret. User shall maintain such secret in strict confidence, shall not disclose, share, transfer or permit the use thereof by any other Person, and shall be solely responsible for all activity effected thereunder, whether or not authorised. The Company does not retain such secret in any recoverable form and is accordingly incapable of disclosing it. The Company will never solicit such secret by electronic mail, short message service or telephone, and any such solicitation should be reported pursuant to Section 18.

7.3 User shall notify the Company forthwith upon becoming aware of any actual or suspected unauthorised use of or access to any Access Artefact or credential.

8. Electronic records and signatures

8.1 User hereby consents, pursuant to the Electronic Signatures in Global and National Commerce Act, 15 U.S.C. § 7001 et seq., and the Georgia Uniform Electronic Transactions Act, O.C.G.A. § 10-12-1 et seq., to the use of electronic records and electronic signatures in connection with all dealings with the Company, and agrees that the entry of User’s name in an execution field, together with affirmative submission thereof, constitutes an electronic signature having the same legal force, effect and enforceability as a manuscript signature affixed to a tangible instrument.

8.2 In connection with each such execution the Company records the name entered, the date and time of submission, the originating internet protocol address and the user-agent string of the submitting client, and affixes a representation of such record to the executed instrument. Such record shall constitute prima facie evidence of execution.

8.3 Hardware and software requirements for access to and retention of electronic records consist of a device with internet connectivity, a contemporary web browser and the capability to display and retain documents in Portable Document Format. User may withdraw the consent given in Section 8.1, or request execution by tangible means, by notice pursuant to Section 18; such withdrawal shall operate prospectively only and shall not affect the validity of any instrument previously executed electronically.

9. Electronic communications

9.1 By furnishing a telephone number capable of receiving short message service traffic, User consents to receive transactional and service-related messages from the Company concerning Indicative Estimates, Engagements, scheduling and performance. Message frequency varies. Message and data rates may apply.

9.2 User may revoke the consent given in Section 9.1 at any time by replying STOP to any such message, whereupon the Company shall cease transmission. Replying HELP returns contact information. Revocation under this Section does not affect the Company’s ability to communicate by other lawful means in connection with an existing Engagement. The Company does not transmit promotional short message service traffic to Persons who have not solicited an Indicative Estimate or entered into an Engagement.

9.3 Any reply to an automated sequence shall operate to terminate such sequence in its entirety.

10. Intellectual property

10.1 As between the parties, the Company owns and retains all right, title and interest in and to the Services and the Content, including all copyrights, trademarks, trade dress, service marks, trade secrets, patents, patent applications and other intellectual property rights therein and thereto, whether registered or unregistered and wheresoever subsisting. The marks ORANCO and the Company’s logotype are marks of the Company. Nothing herein transfers or shall be construed to transfer any such right, title or interest.

10.2 The models, coefficients, assumptions, rate structures, methodologies, operational procedures, supplier arrangements, formulations and configurations underlying the Services constitute trade secrets of the Company within the meaning of the Georgia Trade Secrets Act of 1990, O.C.G.A. § 10-1-760 et seq., and the Defend Trade Secrets Act of 2016, 18 U.S.C. § 1836 et seq. No disclosure of the same is made hereunder, and nothing herein shall be construed as such a disclosure.

10.3 User retains all right, title and interest in and to User Submissions, and hereby grants to the Company a non-exclusive, worldwide, royalty-free, fully paid-up, sublicensable and transferable licence to host, store, reproduce, modify, create derivative works of, display and otherwise use the same solely as necessary to provide the Services, perform the Field Services and administer the Company’s business.

10.4 Photographic records captured by the Company at a Subject Property are works of the Company. The Company may reproduce and display the same in portfolio and promotional contexts without attribution of name or street address. User may withhold or revoke permission for such use at any time, before or after publication, by notice pursuant to Section 18, and the Company shall withdraw any such material then published.

11. Third-party components

11.1 The Services incorporate, interoperate with and are dependent upon products, platforms and services supplied by third parties, including infrastructure, mapping and geospatial, communications, messaging, electronic mail and accounting providers (each a “Third-Party Component”). The identity of such providers is not disclosed herein and may be varied by the Company at any time without notice. Processing of personal information by Third-Party Components is addressed in the Company’s Privacy Policy, which is incorporated herein by reference for that purpose only.

11.2 Third-Party Components are governed by the terms of their respective suppliers. The Company makes no representation or warranty in respect thereof and shall bear no liability for the unavailability, interruption, degradation, defect or discontinuation of any Third-Party Component, nor for any act or omission of any supplier thereof.

12. Disclaimer of warranties

12.1 The services and all content are provided “as is” and “as available”, with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, the company expressly disclaims all warranties, conditions, representations and terms, whether express, implied, statutory or arising from course of dealing, course of performance or usage of trade, including the implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy and non-infringement.

12.2 The company does not warrant that the services will be uninterrupted, timely, secure or error-free; that defects will be corrected; that the services or the servers making them available are free of harmful components; or that any indicative estimate will correspond to any price subsequently quoted, invoiced or charged.

12.3 No advice or information, whether oral or written, obtained from the company or through the services, shall create any warranty not expressly stated herein. Some jurisdictions do not permit the exclusion of implied warranties, in which case the foregoing exclusions apply to the fullest extent permitted.

12.4 This section 12 relates exclusively to the services. It does not limit, qualify, disclaim or otherwise affect any warranty, guarantee or undertaking given by the company in respect of the field services, which is stated in the applicable transaction document and is unaffected hereby.

13. Limitation of liability

13.1 To the maximum extent permitted by applicable law, in no event shall the company, its members, managers, officers, employees, agents, contractors or affiliates be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, anticipated savings, data or use, however caused and on any theory of liability, whether in contract, strict liability, tort or otherwise, arising out of or in connection with this agreement or the services, whether or not the company has been advised of the possibility of such damages and notwithstanding the failure of essential purpose of any limited remedy.

13.2 To the maximum extent permitted by applicable law, the aggregate liability of the company arising out of or in connection with this agreement or the services, from all causes of action and under all theories of liability, shall not exceed the greater of (a) the amounts actually paid by user to the company in respect of the engagement to which the claim relates, and (b) one hundred united states dollars (us$100).

13.3 Nothing in this section 13 shall operate to limit or exclude the liability of the company for death or personal injury caused by its negligence, for damage to tangible property caused by its negligence in the performance of field services, for fraud or fraudulent misrepresentation, or for any other liability which may not lawfully be limited or excluded.

13.4 The limitations in this section 13 are fundamental elements of the basis of the bargain between the parties and shall survive and apply notwithstanding any failure of essential purpose of any limited remedy.

14. Indemnification

14.1 User shall indemnify, defend and hold harmless the Company and its members, managers, officers, employees, agents, contractors and Affiliates from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees and costs of investigation) arising out of or relating to (a) User’s breach of this Agreement; (b) User’s violation of Applicable Law or of the rights of any third party; (c) any User Submission; or (d) User’s representation that User holds an interest in, or authority in respect of, a Subject Property where such representation proves inaccurate.

14.2 The Company shall have the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification hereunder, in which event User shall cooperate with the Company in asserting any available defence. User shall not settle any such matter without the Company’s prior written consent.

15. Term, suspension and termination

15.1 This Agreement commences upon User’s first access to the Services and continues until terminated in accordance herewith.

15.2 The Company may suspend, restrict or terminate User’s access to the Services, in whole or in part, immediately and without notice or liability, where the Company reasonably believes that User has breached this Agreement, that such action is required by Applicable Law, or that such action is necessary to protect the security, integrity or availability of the Services or the interests of other Users.

15.3 Sections 1, 4, 5.2, 7, 8.2, 10, 11.2, 12, 13, 14, 16, 17 and 18 shall survive any termination or expiration hereof, together with any other provision which by its nature is intended to survive.

16. Dispute resolution

16.1 Informal resolution. Prior to initiating any proceeding, the party asserting a dispute shall give the other written notice describing the dispute and the relief sought, and the parties shall negotiate in good faith for a period of thirty (30) days. This Section 16.1 is a condition precedent to the commencement of any proceeding.

16.2 Binding arbitration. Any dispute, claim or controversy arising out of or relating to this Agreement or the Services, including the formation, interpretation, breach, termination, enforceability, revocability, scope or validity hereof, which is not resolved pursuant to Section 16.1 shall be determined by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect, before a single arbitrator, seated in Gwinnett County, Georgia, with judgment on the award enforceable in any court of competent jurisdiction. The Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this Section 16.

16.3 Class action and jury waiver. The parties agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding, and that the arbitrator may not consolidate the claims of more than one person. The parties irrevocably waive any right to trial by jury. If this section 16.3 is found unenforceable as to any claim, that claim shall be severed and determined in court, and all remaining claims shall proceed in arbitration.

16.4 Exceptions. Notwithstanding the foregoing, either party may bring an individual action in small claims court, and the Company may seek injunctive or other equitable relief in any court of competent jurisdiction in respect of actual or threatened infringement, misappropriation or violation of its intellectual property or trade secrets.

16.5 Right to opt out. User may elect not to be bound by Sections 16.2 and 16.3 by delivering written notice of such election to the address specified in Section 18 within thirty (30) days of first accepting this Agreement, specifying User’s name and the fact of such election. Such election shall not affect any other provision hereof.

16.6 Subject to Sections 16.2 and 16.4, this Agreement is governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-laws principles, and the parties submit to the exclusive jurisdiction and venue of the state and federal courts located in or serving Gwinnett County, Georgia.

17. Miscellaneous

17.1 Amendment. The Company may amend this Agreement from time to time by posting a revised version bearing a later effective date. Continued access to or use of the Services following such posting constitutes assent to the revised Agreement. The Company shall identify material amendments upon this page.

17.2 Entire agreement. This Agreement, together with the Privacy Policy to the extent incorporated by Section 11.1, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, whether written or oral, with respect thereto. For the avoidance of doubt, this Agreement does not supersede any Transaction Document, any offer of employment, or any employee handbook, each of which governs its own subject matter and prevails over this Agreement in respect thereof.

17.3 Severability. If any provision hereof is held invalid, illegal or unenforceable in any respect, such provision shall be modified to the minimum extent necessary to render it enforceable, or if modification is not possible, severed, and the remaining provisions shall continue in full force and effect.

17.4 No waiver. No failure or delay in exercising any right hereunder shall operate as a waiver thereof, nor shall any single or partial exercise preclude any further exercise of the same or of any other right.

17.5 Assignment. User may not assign, delegate or otherwise transfer this Agreement or any right or obligation hereunder, whether by operation of law or otherwise, without the Company’s prior written consent, and any purported assignment in contravention hereof shall be void. The Company may assign this Agreement without restriction, including in connection with any merger, acquisition, reorganisation or sale of all or substantially all of its assets.

17.6 Force majeure. The Company shall not be liable for any failure or delay in performance to the extent attributable to any cause beyond its reasonable control, including acts of God, meteorological conditions, fire, flood, epidemic, labour disturbance, failure of utilities or telecommunications, or act of civil or military authority.

17.7 No third-party beneficiaries. Except as expressly provided in Section 14.1, this Agreement confers no right or remedy upon any Person other than the parties hereto.

17.8 Relationship. Nothing herein creates any partnership, joint venture, agency, fiduciary or employment relationship between the parties.

17.9 Construction. This Agreement shall be construed according to its fair meaning and not strictly for or against either party, and no rule of construction resolving ambiguity against the drafting party shall apply.

17.10 Counterparts and interpretation. This Agreement may be accepted in counterparts. The English language version governs. Any provision hereof applicable to a category of Person applies mutatis mutandis to each Person within that category.

18. Notices

18.1 All notices to the Company hereunder shall be in writing and delivered by electronic mail to marketing@orancoclean.com, or by post to ORANCO LLC, Lawrenceville, Georgia, and shall be deemed given upon receipt. Notices to User may be given to any electronic mail address or telephone number furnished by User and shall be deemed given upon transmission.

Users in a Workforce Capacity: this Agreement governs your use of the Company’s applications only.
